PLATFORM TERMS OF USE

1. INTRODUCTION AND ACCEPTANCE OF TERMS

These Terms of Use ("Terms") constitute a legally binding agreement between you (hereinafter referred to as "User," "you," or "your") and BEFOREU CARE PRIVATE LIMITED, a company incorporated under the Companies Act, 2013, having its registered office at Flat No S-104 Plot No. D1 Ganga Platino, Sr No 601 Dukirkline Pune Maharashtra India 411014 (hereinafter referred to as the "Company/ Beforeu", “We”, “Us”, “Our”).

These Terms of Use ("Terms") constitute a legally binding agreement between you (hereinafter referred to as "User," "you," or "your") and BEFOREU CARE PRIVATE LIMITED, a company incorporated under the Companies Act, 2013, having its registered office at Flat No S-104 Plot No. D1 Ganga Platino, Sr No 601 Dukirkline Pune Maharashtra India 411014 (hereinafter referred to as the "Company/ Beforeu", “We”, “Us”, “Our”).

PLEASE READ THESE TERMS CAREFULLY. THESE TERMS INCLUDE IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. BY ACCESSING OR USING THE PLATFORM, YOU ARE ENTERING INTO A LEGAL CONTRACT WITH THE COMPANY REGARDING YOUR USE OF THE PLATFORM.

These Terms may be revised from time to time. We will notify you of any material changes by posting the revised Terms on the Platform and updating the "Last Updated" date above. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.

2. DEFINITIONS

In these Terms, unless the context otherwise requires, the following terms shall have the meanings assigned to them herein:

"Applicable Laws" means all applicable laws, statutes, ordinances, rules, regulations, judgments, interpretations, orders, or decrees of any court or governmental authority having jurisdiction including, but not limited to, the Information Technology Act, 2000 and rules thereunder, the Consumer Protection Act, 2019 and rules thereunder, and all other applicable laws of India.

"Applicable Laws" means all applicable laws, statutes, ordinances, rules, regulations, judgments, interpretations, orders, or decrees of any court or governmental authority having jurisdiction including, but not limited to, the Information Technology Act, 2000 and rules thereunder, the Consumer Protection Act, 2019 and rules thereunder, and all other applicable laws of India.

“Repairing and Maintenance Support” means services offered on the platform including but not limited to electrical, plumbing, and carpentry repairs, mechanical assistance.

"On-Call Advisory Services" means the advisory services offered on the Platform, including but not limited professional advice, medical triage guidance, and police/emergency complaint guidance.

"Platform" means the BeforeU mobile application, website, and related services that connect users with service providers for facilitating the Services.

"Service Partners" or "Partners" means the independent third-party service providers that offer services through the Platform.

"Services" means all the services available on the Platform, including but not limited to Emergency Services, On-Call Advisory Services, Hospital & Health Navigation, Death & Post-Death Support, and SOS/Emergency Coordination.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

a. To use the Platform, you must possess the legal capacity to enter into a binding contract under Indian law. If you are a minor (i.e., below 18 years of age), you may access and use the Platform only with the consent and under the supervision of your parent or legal guardian, who shall be deemed to have accepted these Terms on your behalf. By using the Platform, you represent and warrant that you meet these eligibility requirements.

b. In order to avail the Services of the Platform, You must complete the registration on the ’Sign Up’ page. You will be required to register and create an account by providing certain details including Your name, mobile number and email Id (which is optional), pincode along with Your location (for SOS services). (“Account”). In the future, You can register by using your email Id. Under a single membership, the main member may add up to three (3) additional members. The details of such additional members, including their names, mobile numbers, and locations, shall be required to complete the registration process for each of them. You agree that any registration information provided by You will always be accurate, correct and complete. By usage of the Platform, You shall be solely responsible for maintaining the confidentiality of the Account and for all other activities that occur under Your Account.

c. We may require verification of your identity through government-issued identification or other documentation. You consent to our verification of any information provided during registration.

d. You may not create or use more than one account. You may not allow others to use your account.

e. You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your account credentials.

f. You shall be responsible for maintaining the confidentiality of Your Account and password and You agree to accept responsibility for all activities that occur under Your Account or password and of the Services in Your name. We also reserve the right to refuse registration of or cancel Accounts which we deem inappropriate.

g. You agree that the information You provide to the Company at the time of registration and at all other times will be true, accurate, current, and complete. You also agree that You will ensure that this information is kept accurate and up-to-date at all times.

4. PLATFORM DESCRIPTION AND ROLE

a. Beforeu operates as a marketplace that facilitates connections between users and service providers. We provide a technology platform that enables users to connect with service providers offering various services, including but not limited to Emergency Services, On-Call Advisory Services, Hospital & Health Navigation, Death & Post-Death Support, and SOS/Emergency Coordination.

b. Beforeu functions as an intermediary, connecting users with third-party service providers. Beforeu does not itself provide the services offered through the Platform, except as expressly indicated for specific services.

e. The availability of services may vary based on your location, time of day, Partner’s availability, and other factors. Beforeu does not guarantee the availability of any service at any particular time.

5. SERVICES OFFERED THROUGH THE PLATFORM

a. Categories of Services: The Platform facilitates access to the following categories of services:

i. Emergency On-Ground Support: Including minor mechanical assistance, home lockout assistance, and general emergency handyman services.

ii. Repairing, Maintenance Support: Including electrical, plumbing, and carpentry repairs.

iii. On-Call Advisory Support: Including professional advice, medical triage guidance, and police/emergency complaint guidance.

iv. Hospital & Health Navigation: Including identifying nearest medical facilities and connecting users with empaneled hospitals.

v. Death & Post-Death Support: Including ambulance arrangement, coordination for cremation/burial services.

vi. SOS/Emergency Coordination: Including a 24/7 call center for immediate emergency coordination and support.

b. Service-Specific Terms: Certain services may be subject to additional terms and conditions, which will be presented to you at the time of booking or accessing such services. By using those specific services, you also agree to the additional terms and conditions applicable to those services.

6. USER OBLIGATIONS

a. Compliance with Terms: You agree to use the Platform in strict compliance with these Terms and all Applicable Laws.

b. Accurate Information: You agree to provide accurate, current, and complete information during the registration process and in all your interactions with the Platform and Service Partners.

c. Prohibited Activities: You agree not to:

i. Use the Platform for any illegal, fraudulent, or unauthorized purpose; or violates any law in force;

ii. Share content that is defamatory, obscene, pornographic, paedophilic, invasive of privacy, harmful to children, misleading, or otherwise objectionable.

iii. Infringe or misappropriate any intellectual property or proprietary rights.

iv. Deceive or mislead recipients about the origin of messages or communicate false or misleading information.

v. Interfere with or disrupt the operation of the Platform or the servers or networks used to make the Platform available;

vi. Impersonate or misrepresent your identity or your affiliation with any person or entity;

vii. Harass, abuse, or harm another person through the Platform, including our Service Partners or other users;

viii. Use automated means, including spiders, robots, crawlers, data mining tools, or the like to download, scrape, or index data from the Platform;

ix. Post or transmit any virus, worm, spyware, or any other computer code, file, or program that may or is intended to disable, overburden, damage, or impair the Platform;

x. Attempt to circumvent any technological measure implemented by Beforeu or any of our providers to protect the Platform;

xi. Advocate, encourage, or assist any third party in doing any of the foregoing.

xii. Threaten the unity, integrity, defence, security, or sovereignty of India, friendly relations with foreign States, or public order.

xiii. Incite the commission of any cognisable offence, prevent investigation of an offence, or insult any other nation.

xiv. Post, upload, or share any information restricted under Rule 3(1)(b) of the The Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (“Guidelines”).

d. User Content: You retain ownership of any content you submit, post, or display on or through the Platform ("User Content"). By submitting, posting, or displaying User Content, you grant Beforeu a worldwide, non-exclusive, royalty-free license to use, copy, modify, create derivative works from, distribute, publicly display, publicly perform, and otherwise exploit in any manner such User Content in all formats and distribution channels now known or hereafter devised, without further notice to or consent from you, and without the requirement of payment to you or any other person or entity.

7. CONTENT REMOVAL AND TAKEDOWN

In compliance with the Information Technology Act, 2000 and the Guidelines, Beforeu shall, upon receiving actual knowledge in the form of (a) a court order, or (b) a notification by the appropriate government or its agency, remove or disable access to unlawful information, data, or content hosted, displayed, or transmitted on the Platform.

Beforeu may also remove or disable content on its own if it reasonably believes such content violates these Terms or Applicable Laws. Content so removed shall be retained for investigation purposes and may be disclosed to governmental authorities as required by law.

8. SERVICE BOOKING AND PAYMENT

a. Booking Process: The Platform allows you to book services offered by Service Partners. Upon submitting a service request, the Platform will attempt to match you with an available Service Partner.

b. Booking Confirmation: A booking is only confirmed when you receive a confirmation notification through the Platform. Until you receive such confirmation, no contract for services has been formed.

c. Pricing and Fees: In consideration of the Services being offered on the Platform, the Users shall be liable to pay the following fees in advance:

i. Service Fees: The fees for Services will be displayed to you before you confirm a booking.

ii. Platform Fees: BeforeU may charge platform fees for facilitating connections between Users and Service Partners. Any such fees will be clearly disclosed to you before you confirm a booking.

iii. Taxes: All fees are exclusive of applicable taxes, which will be charged additionally as required by law.

d. Payment:

i. Payment Methods: We accept various payment methods as indicated on the Platform. By providing a payment method, you represent and warrant that you are authorized to use the designated payment method.

ii. Payment Processing: Payments are processed through third-party payment processors. By using the Platform, you consent to the collection and use of your payment information by these third-party payment processors in accordance with their terms of service and privacy policies.

iii. Payment Authorization: When you provide payment information, you authorize us to charge the designated payment method for all fees incurred by you on the Platform.

e. Cancellations and Refunds:

i. Cancellation by User: You may cancel a service booking in accordance with the cancellation policy applicable to the particular service, which will be displayed at the time of booking. Cancellation fees may apply.

ii. Cancellation by Service Partner: If a Service Partner cancels a confirmed booking, we will attempt to find a replacement Service Partner. If a replacement cannot be found, any amount you have paid will be refunded in accordance with our refund policy.

9. EMERGENCY SERVICES AND DISCLAIMERS

i. Emergency Services Nature: The Platform facilitates access to various emergency services through third-party Service Partners. These services are intended to provide assistance in non-life-threatening emergencies.

ii. Not a Substitute for Emergency Services: THE PLATFORM IS NOT A SUBSTITUTE FOR EMERGENCY SERVICES SUCH AS 108 (AMBULANCE), 100 (POLICE), OR 101 (FIRE). IN THE EVENT OF A LIFE-THREATENING EMERGENCY, YOU SHOULD IMMEDIATELY CONTACT THE APPROPRIATE EMERGENCY SERVICES BY DIALING THE RELEVANT EMERGENCY NUMBER FOR YOUR LOCATION.

iii. Medical Services Disclaimer: Medical triage guidance and healthcare navigation services provided through the Platform are informational in nature only and are not intended to replace professional medical advice, diagnosis, or treatment. Always seek the advice of qualified healthcare providers with any questions you may have regarding medical conditions.

iv. Service Timing: While we strive to connect you with Service Partners as quickly as possible, we cannot guarantee response times for emergency services. Response times may be affected by factors beyond our control, including but not limited to traffic conditions, weather, service partner availability, and the accuracy of location information provided by you.

v. No Guarantee of Service Partner Availability: Beforeu does not guarantee the availability of any Service Partner at any particular time or in any particular location.

10. LEGAL AND FINANCIAL ADVISORY SERVICES

a. Nature of Advisory Services: Legal, financial, and other advisory services accessible through the Platform are provided by independent third-party professionals and are intended for general informational purposes only.

b. No Attorney-Client or Financial Advisor Relationship: Using the legal or financial advisory services available through the Platform does not create an attorney-client or financial advisor-client relationship between you and Beforeu. Any such relationship would be solely between you and the third-party professional providing the advice.

11. LIMITATION OF LIABILITY

a. Disclaimer of Warranties: THE PLATFORM AND ALL SERVICES ACCESSIBLE THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. BEFOREU EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

No Warranty of Service: BEFOREU DOES NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS, THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT THE INFORMATION PROVIDED THROUGH THE PLATFORM WILL BE ACCURATE, RELIABLE, COMPLETE, OR CURRENT, OR THAT ANY ERRORS IN THE PLATFORM WILL BE CORRECTED.

Third-Party Service Providers: BEFOREU IS NOT LIABLE FOR THE ACTS, ERRORS, OMISSIONS, REPRESENTATIONS, WARRANTIES, BREACHES, OR NEGLIGENCE OF ANY SERVICE PARTNERS OR FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING FROM INTERACTIONS WITH SERVICE PARTNERS.

d. Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BEFOREU, ITS DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE PLATFORM OR ANY SERVICES PROCURED THROUGH THE PLATFORM. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF BEFOREU TO YOU, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO BEFOREU IN THE 3 MONTHS PRECEDING THE CLAIM OR INR 5,000, WHICHEVER IS GREATER.

e. Emergency Services Liability: WITHOUT LIMITING THE FOREGOING, BEFOREU EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY DELAYS, FAILURES, OR NEGATIVE OUTCOMES RELATING TO EMERGENCY SERVICES, INCLUDING AMBULANCE SERVICES, MEDICAL CONSULTATIONS, OR SOS COORDINATION.

f. Exclusions: SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. THEREFORE, SOME OF THE ABOVE LIMITATIONS IN THIS SECTION MAY NOT APPLY TO YOU.

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Beforeu, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Platform, including, but not limited to, any use of the Platform's content, services, and products; (c) your violation of the rights of any third party, including Service Partners; or (d) any act or omission by you in connection with your use of the Platform.

13. INTELLECTUAL PROPERTY

a. Ownership of Platform: The Platform, including all of its content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by the Company, its licensors, or other providers of such material and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

b. Ownership of User information: All information, data, and materials that You provide to the Company during registration or through Your use of the Platform shall remain Your sole and exclusive property. Nothing in these Terms shall be construed as transferring any ownership rights in such information to the Company.

c. Limited License: Subject to your compliance with these Terms, Beforeu grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal, non-commercial use.

d. Restrictions: You may not:

i. Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Platform, except as it is created automatically in your browser cache, or otherwise expressly permitted in writing by BeforeU;

ii. Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Platform;

iii. Access or use the Platform for any commercial purposes;

iv. Attempt to decompile or reverse engineer any software contained on the Platform; or

v. Use any device, software, or routine that interferes with the proper working of the Platform.

e. Trademarks: The Beforeu name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You may not use such marks without the prior written permission of Beforeu.

14. PRIVACY AND DATA PROTECTION

a. Privacy Policy: Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to all actions we take with respect to your information in compliance with the Privacy Policy.

15. GRIEVANCE REDRESSAL MECHANISM

a. Grievance Officer: You may contact our designated Grievance Redressal Officer/Nodal Officer with any complaints or queries relating to the Services or these Terms regarding the Platform, services offered, or issues with Service Partners. 16. TERMINATION

a. Termination by You: You may terminate these Terms at any time by:

i. Discontinuing all use of the Platform; and

ii. Deleting Your account, where applicable.

b. Termination by Beforeu: Beforeu may, in its sole discretion, suspend or terminate your access to all or part of the Platform, or your account, with or without notice, for any reason, including, without limitation, breach of these Terms.

c. Effect of Termination: Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

17. GOVERNING LAW AND DISPUTE RESOLUTION

a. Governing Law: These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of India, without giving effect to any principles of conflicts of law. Subject to other provisions in this clause, courts in Pune shall have exclusive jurisdiction over all issues arising out of these Terms or the use of the Services.

18. MISCELLANEOUS

a. Entire Agreement: These Terms, together with the Privacy Policy and any other legal notices or additional terms and conditions or documents published by Beforeu on the Platform, shall constitute the entire agreement between you and Beforeu concerning the Platform.

b. Change of Terms: We may revise these Terms at any time, at our discretion, and such revisions shall take effect immediately upon being posted on the Platform. You are responsible for reviewing the Terms periodically to stay informed of any updates. Your continued use of the Platform after any revisions are posted shall constitute your acceptance of the revised Terms.

c. Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision.

d. No Waiver: No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Beforeu to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

e. Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without Beforeu's prior written consent. Beforeu may freely assign or transfer these Terms without restriction.

f. Force Majeure: Beforeu shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, or disease, strikes or shortages of transportation facilities, fuel, energy, labor, or materials.
